By accessing the 3lom.ai website or engaging any of our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our website or services. These terms apply to all visitors, users, and clients of 3lom.ai.
3lom.ai provides custom software development, AI systems, cloud infrastructure, consulting, and related technology services. The specific scope, deliverables, timelines, pricing, and terms of each engagement are defined in separate Statements of Work (SOW) or service agreements signed between 3lom.ai and the client. These Terms of Service govern your general use of our website and serve as a baseline for all engagements.
Unless otherwise agreed in a signed contract, work product created by 3lom.ai for a client is transferred to that client upon receipt of full payment. 3lom.ai retains ownership of all proprietary frameworks, libraries, internal tools, methodologies, and general technical know-how developed independently. All content on the 3lom.ai website — including text, images, design, and branding — is the exclusive property of 3lom.ai and may not be reproduced without written permission.
Clients agree to: provide accurate and complete project requirements in a timely manner; supply required content, assets, credentials, and access necessary for project execution; ensure they hold the legal rights to all materials provided to 3lom.ai; designate a project point of contact with authority to approve deliverables; and comply with all applicable laws and regulations in their industry and jurisdiction.
Payment terms, milestones, and rates are defined in individual contracts. Unless otherwise stated, invoices are due within 14 calendar days of issuance. Late payments may result in work suspension and may accrue interest at 1.5% per month. All fees are non-refundable unless explicitly stated in the applicable contract. Disputes regarding invoices must be raised in writing within 5 business days of receipt.
Both parties agree to keep confidential all non-public information shared in connection with a project, including business strategy, technical architecture, customer data, and financial information. This obligation survives the end of the engagement for a period of 3 years. Where a separate Non-Disclosure Agreement (NDA) is signed, its terms govern. We will not publicly reference a client engagement without written consent.
Except as expressly set forth in a signed contract, 3lom.ai provides its services and website content "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that services will be uninterrupted, error-free, or that all defects will be corrected.
To the maximum extent permitted by applicable law, 3lom.ai's total liability for any claim arising out of or relating to these terms or our services shall not exceed the fees paid by the client in the three (3) months preceding the claim. Under no circumstances shall 3lom.ai be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in Dover, Delaware, under the rules of the American Arbitration Association, unless both parties agree to another resolution method.
Either party may terminate a service engagement according to the terms of the applicable contract. 3lom.ai reserves the right to suspend or terminate access to our website or services, without prior notice, if we reasonably believe you have violated these Terms of Service or applicable law. Upon termination, all provisions that by their nature should survive — including IP ownership, confidentiality, and limitation of liability — shall remain in effect.
We may revise these Terms of Service at any time. Material changes will be reflected in the "Effective Date" at the top of this page. Your continued use of the 3lom.ai website or services after any changes constitutes your acceptance of the revised terms. We recommend reviewing these terms periodically.
